We are looking for a Senior Corporate Administrator and Governance Officer to provide support for Hiscox Ltd and the Bermuda based entities within the Hiscox Group. The individual will work directly with the Group General Counsel and the Group Company Secretary for all Group matters and with the local team with respect to all Bermuda based subsidiaries. Responsibilities: Assist in the preparation of confidential board and committee materials and logistics with respect to meetings, including prepping agendas for boards and all committees, meeting invites, timetable preparation, drafting of minutes, and communicating deadlines. Assist in maintaining statutory books and records and taking the lead on gathering and preparing documents in advance of meetings and distributing to directors. Providing support to the Directors including the preparation of their annual confirmations (share ownership confirmation, performance self-assessments, etc.) and coordinating fees for group and subsidiary directors. Organising and maintaining internal database, files, and documents and tracking correspondence and ensuring that all matters are being attended to. Ensure annual regulatory filings for each company and payment of license fees are managed in accordance with the relevant legislation. Liaise closely with overseas offices, as well as third party service providers such as lawyers, auditors, and bankers. Assisting with tasks related to entity formation and liquidation and maintaining/updating beneficial ownership and economic substance records. Manage public company and stock exchange announcements. Manage insider list administration and coordination of Non-Disclosure Agreements. Attend to any other specific duties as may be assigned and any other such duties that might be reasonably required for this role.

Requirements

Qualifications/Experience Required: Prior experience and familiarity with Blueprint/Diligent, Microsoft Office, and Board Intelligence (preferable). At least 15 years of corporate administration experience or experience within a similar role. Experience supporting (re)insurance companies strongly preferred. Sound knowledge of the Companies Act 1981, Investment Business Act 2003, Insurance Act 1978 and/or Insurance Code of Conduct, the Economic Substance Act 2018, and statutory regulation relating to the administration of companies in Bermuda. Excellent written and oral communication skills. Ability to operate in a complex environment, liaise with multiple stakeholders across a variety of key business functions, and respond to challenges promptly and effectively. Willingness to take ownership of responsibilities and ability to troubleshoot when issues arise with minimal supervision. Demonstrated ability to prioritize multiple, competing tasks and demands in a fast-paced team environment. Strong interpersonal skills to promote productive relationships with external clients and employees across the company. Candidates must be able to work flexible hours to accommodate meetings in different time zones.
