The Gibbons Group of Companies, which includes Harbour International Trust Company Limited and Harbour Fiduciary Services Limited (the "Group") is seeking a Corporate Secretary/Paralegal whose role is to work closely with the Legal Counsel/ Corporate Secretary of the Group, Group Directors and others to support the Group and clients. KEY RESPONSIBILITIES: Managerial: • Assists the Legal Counsel and Corporate Secretary in day-to-day operations. • Develops and maintains good interpersonal relations within the Group. • Ensures Group and client files are maintained, current, and complete • Ensures that the affairs of the Group and clients are managed in accordance with the relevant Laws/regulations, and the standard of client services set by the firms are maintained, along with the Legal Counsel and Corporate Secretary. • Liaises with Legal Counsel and Corporate Secretary, and other group heads in assisting the Directors in governance of Group and client companies. • Reviews and assesses potential new business including preparation and review of onboarding documents, and the preparation of fee proposals. Compliance: • Assists with designing, implementing, overseeing and facilitating corporate governance adherence to internal controls and operating policies and procedures. • Ensure compliance with the Group's professional conduct, quality and ethical standards. • Ensures all relevant regulatory and compliance requirements are met. Prepare and submit statutory and regulatory returns as required. • Ensure that client companies' and Group operating companies' statutory records and statutory databases/registers are kept up to date. • Vigilance in considering the "Money Laundering" and "Know Your Clients" issues that may arise and report any related concerns to the Money Laundering Reporting Officer. General Administration: • The administration of a varied portfolio of companies, in accordance with the Group's Corporate Service Provider and Trustee Policies and Procedures, and Manuals, along with the relevant laws and regulations. • Prepare notices, agendas, resolutions, meeting minutes, and other corporate documentation for companies as required. • Manages and maintains excellent client relationships. • Ensures that all client requests/correspondence (verbal and written) is dealt with in a prompt and efficient manner. • Maintains the highest standards of confidentiality and security in terms of Group and client affairs. • Sets up and maintains accurate and complete records for entities. • Attends to client needs in a timely, professional manner • Monitor own performance against mutually agreed personal and development targets. • Maintains their knowledge of current industry trends and developments, e.g. Changes in legislation and regulations. • Prepare and manage correspondence, reports, and other documents related to corporate administration. • Maintain and update internal databases and document management. • Assist with billing and payment processing. • Support the Client Services team with various administrative tasks and projects as needed.

Requirements

Qualifications and Skills: • Minimum of 7 years' corporate administration experience exhibiting supervisory ability and leadership qualities. • Broad understanding of a wide range of fiduciary products, with a high level of business acumen and commerciality in relation to same. • In-depth knowledge of corporate administration, corporate governance, and paralegal duties, including for regulated entities. • A proven ability to lead and be part of a team of professionals. • Highly developed written and verbal interpersonal and communication skills, with sound organizational skills. • Ability to understand, inspire, train and develop other staff. • To exercise absolute discretion and confidentiality in all matters. • Ability to formulate, consider and select the most appropriate solution • Knowledge of the following would be an asset: • CRS/FATCA/Economic Substance/Overseas Entities registration (UK) regulations and reporting/knowledge of Cayman Islands and or BVI company law o Fund Administration and Insurance entity management
