Our client, a Class 3 leading reinsurer in Bermuda, is seeking a Legal and Corporate Administrator to join their team. Reporting to the Company's Head of Legal, your responsibilities include, but are not limited to: Acting as Assistant Company Secretary. Maintain the Company's corporate and other records (physical and electronic) in accordance with relevant statutory and regulatory requirements and internal policies. Co-ordination of all Board and Committee meetings, including scheduling of the same and supporting Directors with any logistical needs. Preparation of all Board and Committee materials, including reviewing and assembling reports from all departments and uploading the same to the Board meeting application. Drafting any necessary Board and Shareholder resolutions, including annual AGM documentation. Assist with completing annual Board and Committee Self-Assessments. Prepare and manage all necessary Director/Officer appointments and resignations. Manage any necessary filings to the BMA and ROC in respect of various Company notifications. Collect and maintain any Director or Management KYC in accordance with regulatory and counterparty requirements. Assist the Company's Head of Legal with various transactions, including but not limited to, Group restructuring and reinsurance transactions. Complete monthly, quarterly and annual financial crime reporting in the Group database (FCC). Assist with annual reviews of legal policies, standards and business process manuals. Assist with annual review of the Insurance Code of Conduct in preparation of BMA annual regulatory filings, specifically matters pertaining to Corporate Governance. Assisting the Company's Head of Legal with the general maintenance of all legal records, specifically agreements and tracking of work flowing through the legal department. EDUCATION, EXPERIENCE & ATTRIBUTES Completion of the Corporate Secretarial Procedures I and II examinations (preferred). University degree (min Bachelor level) is preferred. At least three years' prior experience as a Corporate Administrator, ideally within the (re)insurance industry. Sound knowledge of the Companies' Act 1981 and statutory regulations relating to the administration of companies in Bermuda. Working knowledge of Bermuda AML/ATF requirements. Excellent organizational/analytical skills to efficiently co-ordinate and handle multiple responsibilities and assignments in a demanding environment. Experience with Viewpoint or other corporate database is preferred. Experience with Convene or similar Board presentation tool preferred. Proficient with MS Office suite of products (incl. PowerPoint). Self-starter, ability to work independently with limited supervision, and strong written and verbal communication skills.
