Fidelis Insurance Group is seeking to appoint a Company Secretary and Group Governance Manager to play a pivotal role in maintaining and enhancing our governance framework across the Group. This role is essential to ensuring robust corporate governance practices and effective collaboration between the Board, subsidiaries, management committees, and key stakeholders.
As Company Secretary and Group Governance Manager, you will be responsible for delivering a comprehensive range of corporate secretarial services and governance support, with a strong focus on Board and subsidiary governance, statutory compliance, and process efficiency. This is a high-impact role offering broad exposure across the business and the opportunity to influence key governance decisions at the highest level.
Duties & Responsibilities:
• Lead the coordination and administration of Group and subsidiary Board meetings, including agenda planning, minute-taking, and action tracking
Prepare and distribute Board packs and governance materials in a timely and accurate manner
Provide governance advice and ensure compliance with legal, regulatory, and internal policy and control requirements.
Maintain statutory records and ensure effective record-keeping and document control.
Coordinate the scheduling and oversight of management committees, ensuring clear governance and follow-through on key actions.
Support the induction and continuous development of directors, ensuring they understand their responsibilities within the governance framework.
Coordinate with Group Chief Legal Officer and Group Head of Compliance to ensure applicable regulatory governance requirements, with particular focus on BMA requirements
Facilitate annual reviews of committee structures and terms of reference to ensure relevance and compliance.
Assist the Group Chief Legal Officer with legal support, contract administration, and special governance-related projects.
Strong understanding of corporate governance principles, legal compliance, and Board procedures.
Exceptional organizational and communication skills, with proven ability to manage complex stakeholder relationships.
Adept at drafting, reviewing, and maintaining accurate governance documentation.
Proactive, detail-oriented, and able to work with a high degree of autonomy.
ICSA/CGI qualification or equivalent professional accreditation is desirable
Minimum Qualifications, Skills & Experience
10 years' experience gained in governance management and company secretarial administration
Experience working with Irish, UK and Bermudian companies, and understanding of relevant insurance regulatory regimes within such jurisdictions
Must possess a solid track record and be able to demonstrate a working knowledge of Company Law in major offshore jurisdictions
Strong understanding of corporate governance principles, legal compliance, and Board procedures required
Must be adept at drafting, reviewing, and maintaining accurate governance documentation
Previous experience administering publicly listed companies is required, preferably in the (re)insurance industry
Experience working for listed companies (UK or US) and strong understanding of companies legislation and corporate governance regulatory requirements applicable to insurance companies
High level of proficiency in Microsoft Office applications specifically Word and Excel, and proficient in the use of Adobe Acrobat
Strong written and verbal communication skills as well as the ability to interact with individuals on all levels
Due to the nature of the business, the ability to work overtime as needed is required10 years' experience gained in governance management and company
secretarial administration
