Brookfield is seeking a proactive and confident Senior Corporate Administrator to join their growing team. The successful candidate will provide advanced level corporate administrative services for subsidiaries of the Brookfield Corporation group of companies ("Brookfield") registered in Bermuda and such Cayman entities as are under management at Brookfield Asset Management (Bermuda) Ltd. ("BAMBL") as are assigned (collectively, the "Entities"). Key Duties & Responsibilities: • Ensure corporate and partnership acts are properly documented by preparing and circulating written resolutions and supporting documents and obtaining directors' signatures • Scheduling board and shareholder meetings, preparing and circulating notices and documents for consideration, drafting minutes, arranging for presenters to the meeting as required, attending the meetings and taking notes, plus revising, finalising and arranging signing of minutes • Preparing and maintaining the records of the Entities, ensuring that the relevant minute books are kept up to date, making all necessary filings including with the BMA and the Registrar of Companies and ensuring regulatory and governance compliance • Drafting other material related to the business and administration of Entities that may be required from time to time including but not limited to share transfer instruments, promissory notes, secretary's/officer's certificates, and powers of attorney • Reviewing funds-flow memoranda, liaising with Brookfield personnel as necessary to finalise such memoranda, drafting resolutions to effect the steps in same, coordinating, preparing and arranging execution of related documents as necessary and completing any corporate steps such as share issuances, capital reductions or increases and making the necessary filings • Ensuring executed copies of all documents are properly filed and saved • Maintain Diligent Entities records relating to the Entities • Assisting in other tasks, if required, including entity formation and liquidation, maintaining/ updating beneficial ownership and economic substance records and making necessary filings • Supporting the corporate services team as directed, including assisting with the administration of Entities for absent or heavily-engaged team members • Managing and completing any administrative or special projects as may be necessary from time to time • Provide mentorship and guidance to and act as a resource for more junior members of the team Minimum Qualifications, Skills & Experience: • Bachelor's degree in business administration (or other pertinent subject) or a relevant professional designation e.g. ACG, CPS • 5 years of relevant corporate administration experience • Sound knowledge of the Bermuda Companies Act and the relevant partnerships acts, or equivalent acts from other Commonwealth jurisdictions • Well-developed problem solving and teamwork skills • High degree of organizational skills and accuracy, ability to take initiative, plan and self-motivate in order to organize, schedule and follow through on tasks in a timely manner, under minimal supervision • Strong interpersonal skills to promote productive relationships with employees across Brookfield • Ability to reliably process workload and adhere to deadlines in a fast-paced environment • Proficient in use of Microsoft products including Word, Outlook, Excel and PowerPoint To apply please send your résumé to bdajobs@expertisegroup.com.
