Senior Legal Counsel The Senior Legal Counsel will act as a trusted legal advisor to Aspen Bermuda Limited (ABL), including its Bermuda and non-Bermuda affiliated entities, the insurance and/or reinsurance segments and to other supporting business functions, supporting the Bermuda General Counsel and the Group General Counsel. Provide legal, corporate governance and risk management support and services on a wide variety of legal and regulatory issues, as well as company secretarial services. Support business units and ABL and its affiliated legal entities by advising on legal and regulatory risks to assist them in achieving objectives while protecting from undue risk. Key Accountabilities: Serve as primary legal counsel and key trusted advisor to ABL executives and other internal clients in Bermuda, with support from the Bermuda General Counsel where needed, along with legal support for Group projects where required, as well as ABL's branch operations. Provide Legal Services inclusive of: Insurance and/or reinsurance legal advice to the Bermuda and Group entities of Aspen, and other Aspen entities where needed, including advice on and drafting of insurance and reinsurance (whether inwards or outwards) wordings and endorsements as required; Assistance with Bermuda platform licensing arrangements; Lead the Aspen Bermuda platform corporate governance framework, including acting as an important interface with the ABL Board, along with the Group Board where required; Advice, support and guidance in relation to complex claims and coverage disputes; Negotiation, drafting and interpretation of third party and intercompany reinsurance, financings, vendor arrangements and other similar contractual matters; Negotiation, drafting and interpretation of other contractual arrangements, including but not limited to NDAS, sanctions legislation, tax, data protection, procurement and corporate transactions, in collaboration with Legal & Compliance leads as needed; Assistance to the compliance function in drafting and maintaining policies that have a legal element as appropriate; Assistance with regulatory reporting, which may include supporting the Group General Counsel with Group-level SEC and other regulatory filings; Such projects as the Bermuda General Counsel or the Group General Counsel may nominate; Contribute to legal entity and functional strategy development, in collaboration with Bermuda General Counsel and Group General Counsel. Keep up to date with relevant legislation, case law and regulatory requirements in a wide variety of subject areas and contribute to Group regulatory horizon scanning processes. Build and maintain strong relationships with outside counsel and other key external stakeholders and provide reports to Aspen management related to non-Claims litigation. Participate in Group forums and projects to ensure global operating excellence and enhanced cross-functional and cross-platform cooperation. Develop and maintain relationships with all relevant internal Legal teams across the group to provide excellent customer focus that meets stakeholder's needs. As appropriate, represent Aspen's interests with relevant internal and external groups to broaden own and Aspen's profile within the marketplace, including in commercial negotiations. Provide generalist legal and compliance advice; serve as a subject matter expert in various [re]insurance-related areas. Maintain a robust legal control framework. Meet all internal local and/or global internal reporting requirements.

Requirements

Law degree from an accredited law school. Minimum 5 years' of relevant post-qualification corporate legal experience. Minimum 4 years' experience and working knowledge of Bermuda company and insurance, including the Bermuda ILS framework laws/regulations and experience with contract drafting and negotiation. Minimum 2 years' direct (re)insurance experience (whether from private practice or in-house), including supporting underwriting teams on coverage queries and other underwriting-related matters. Experience in preparing Bermuda regulatory filings and communications with the BMA, including, but not limited to, leading on economic substance filings, financial condition reports and section 30J filings, as well as experience supporting non-Bermuda regulatory filings. Experience in transitioning a private equity firm to a public company. Proven track record in corporate governance matters, including experience in preparing for, attending and minuting Board, Board Committee and senior management meetings. Experience in engaging with and presenting to boards of directors. Solid understanding of corporate governance frameworks. Ability to work independently, with only occasional guidance. Excellent organizational and facilitation skills, with proven ability to build and maintain relationships inclusive of Board members and Executive management. Strong client focus, with strong written and verbal skills. Proven analytical and problem-solving skills. Ability to work in fast moving environment with rapidly evolving targets. Sound judgement with demonstrated ability to manage.
